GENERAL TERMS AND CONDITIONS OF BUSINESS

OBJECTIVE

The general terms and conditions serve as a legal basis for the duration of the contractual relationship between Adison Records® and the customer ordering a product or service provided by Adison Records®. These special or general terms and conditions are not accepted by Adison Records® and are not valid in relations between Adison Records® and the customer. Adison Records® is free and entitled in all matters to fulfill its obligations to the customer via third parties, including both foreign and domestic entities. The general terms and conditions of business are subject to Swiss law with Adison Records®® location of business as the sole place of jurisdiction.

ONSET

The contractual relationship materializes with the order acceptance or implementation on behalf of Adison Records® on the basis of the order placed by the customer. Depending on the product, the order may be submitted via email, online form or signed document, or via performance reference. In principle, an encrypted online order transmission is submitted to the customer in advance. The customer then accepts these general terms and conditions by submitting an online order as well as his/her data and automatic prepayment. In the case of written documents (offers), the date of the first aforementioned events indicates the contract’s beginning. The customer is defined as the person who initiated the execution of an order. Adison Records® is under no obligation to review the customer’s authority to place an order. Adison Records® reserves the right to reject an order without providing reason.

DURATION

The customer determines the contact’s duration via his/her selection at the time of ordering. For individual orders, Adison Records® will provide written notice and means of an offer to the customer specifying the production and length of contract until delivery of the finished product.

SERVICES

Adison Records® provides services that are carefully executed to the best of its ability. Adison Records® maintains the right to change the nature, scope, price and terms of the services provided and to refuse its services in case of default or other breaches of obligation at all times. Prior to the start of an individually offered service or product, Adison Records® shall, in consultation with the customer, compose a written offer or contract agreement with the order costs. Such an order agreement is also valid by submitting a reciprocal email order confirmation without signatures. Adison Records® is responsible for the performance of the offer claimed by the customer, of which the product description is published in accordance with the offer or on www.adisonrecords.com.


PAYMENT CONDITIONS

PRICES

In principle, the price of the product selection or the contractually agreed upon prices apply. So-called "package" orders are offered at fixed-price without additional costs. If no explicit price is set, the hourly rate of CHF 90 applies. All prices are quoted in Swiss Francs.

PAYMENTS

PayPal or bank transfers are accepted as payment methods.

PAYMENT PERIOD

Prepayment shall apply in the case of orders calculated up to CHF 2500. For offers estimated to be greater than CHF 2500, 50% (fifty percent) of the offered net price is required as advance payment. The remaining 50% (fifty percent) is to be paid upon completion and before delivery of the product to the customer.

OFFSETTING

If the customer does not pay on time, he or she shall be considered in default without a reminder. The customer is not allowed to offset claims. In the event of a delay in payment, a reminder fee of CHF 20.00 is payable per warning letter. The warning will be sent twice over the span of ten days before further action is initiated. If the customer has not paid the invoice by the due date or raised any objectifications in writing, Adison Records® may terminate all services without notice and/or terminate the contract without compensation.

OUTSIDE MATERIALS

If Adison Records®® is entrusted with protected outside material including audio, image, languages, etc., the clarification of existing rights of any third parties lies exclusively with the customer. The customer relinquishes any rights assigned to him to Adison Records®, including possible rights in titles, third party do not violate copyrights or performance rights of third parties, and that the production or parts thereof are not taken illegally from other works. The customer is liable in full for any such damages. Adison Records® shall be exempt from all liability without reservation.

COPYRIGHT

Unless otherwise agreed in writing, the copyrights and any related rights of all materials created by Adison Records® are owned by Adison Records®. Adison Records® maintains these rights in accordance with federal legislation.

OWNERSHIP

All goods delivered by Adison Records® as well as all rights and services remain the property of Adison Records® until full payment of all claims arising from the contractual relationship with the customer.

ADDITIONAL WORK

Work that does not fall within the scope of Adison Records®' scope of duties or the respective product catalog can be rejected by Adison Records® or invoiced to the customer in accordance with the incurred expenses. Examples of such an hourly chargeable service, among other possibilities, include service extensions, revisions after acceptance by the customer, etc.

NOTICES

Adison Records® is entitled to send all notices to the customer via email, but not exclusively announcements about product revisions, invoices, payment reminders, etc. If Adison Records® has a contact address that has not been valid since the customer's order Adison Records® is entitled to additional queries of entries (administration service provided by Adison Records®, public WHOIS database and domain names, etc.) with which the contact address can be assigned as authorized.

EARLY TERMINATION OF THE CONTRACT

If the customer requests premature termination of the contract despite a valid contractual relationship and/or if collaboration is no longer possible due to lack of support from the customer, Adison Records® may voluntarily agree to compensation for the premature termination of the contract. Adison Records® can either bill the actual expenses or, demand a lump sum compensation for fixed prices without detailed hourly summaries. The lump-sum compensation is 50% (fifty percent) of the original order volume on the date of the order acceptance. Any order placed with Adison Records® shall be considered as an order acceptance.


COLLABORATION

The customer is to commit to adhering to fixed declines so that Adison Records® can optimally provide the desired services.


ACCEPTANCE

The services and products provided by Adison Records® must be checked by the customer upon receipt. In the case of audio productions, Adison Records® will provide the customer with an MP3, audio, video or photo file for each title or product via email. The customer can request any revisions in accordance with the existing offer. If no written confirmation is received within 48 hours via email, the work results shall be deemed accepted. Upon completion, Adison Records® will provide the customer with a second preview of the finished work via e-mail. If no further revisions are made within 48 hours, the result of the work is deemed to have been accepted as final. Any extension of the acceptance period, which may be requested, is only effective upon written agreement with Adison Records®. Subsequent complaints are excluded and will not be considered.

REFERENCES

Adison Records® may use and publish general data such as brands, digital data or links to the project as proof of performance. Upon explicit request of the customer, the reference may be omitted. The customer may only mention Adison Records® on the Internet by means of express, written authorization, in particular credits, links, etc. Moreover, the customer commits to Adison Records® by indicating Adison Records® as a supplier of producer on his product by featuring "Produced by Adison Records® | www.adisonrecords.com".


LIABILITY

Failure caused by possible device disruptions during the execution of work are not charged to the customer. However, Adison Records® shall not be liable for any damages or costs incurred as a result.


DATA PROTECTION

Adison Records® provides server access to transfer customer data during an online order.
The customer agrees to the fact that his or her data is stored and can be transmitted to third parties in any necessary context. This applies, in particular, to the transmission of data necessary for the production of third parties. Adison Records® advises customers that data transmission on the Internet (e.g., e-mail communication) may present security gaps. The customer acknowledges that Adison Records® cannot guarantee a complete protection of the data from access by unauthorized third parties. Adison Records® rejects all liability in this regard.


DELIVERIES

If the customer is not supplied with a machine-made product, Adison Records® will supply the finished product via transfer in the form of a download via the server provided to the customer. Packaging and postage for machine-made products are invoiced to the customer according to the supplier and its conditions.
